Terms of Service

Please read these Terms of Service ("Terms") carefully before using bankfailures.fyi (the "Service"), operated by Sam Young ("we," "us," or "our").

1. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.

2. What the Service Is

The Service publishes arithmetic calculations — the Texas Ratio and five further measures — derived entirely from financial data that banks themselves file publicly with the FDIC. It holds no data of its own and reports nothing that the institution did not report to its regulator. Every formula, every field it uses and its known limitations are set out in full on the method page, so that any figure shown here can be independently reproduced and checked against the FDIC's own published filing.

The Service is not a credit rating agency and its output is not a credit rating, a solvency opinion, or a prediction of failure. It is not intended to provide financial, investment, legal, tax, or any other professional advice.

The inclusion of any institution on this Service, at any position in any list, is not an assertion that the institution is at risk of failure.

3. No Financial Advice

Nothing contained in the Service constitutes financial advice, recommendation, or endorsement of any financial institution, financial product, or investment strategy.

Before making any decisions regarding your finances, investments, or banking relationships, you should consult with qualified financial professionals.

4. Data Accuracy and Currency

While we strive to use reasonable efforts to include accurate and up-to-date information in the Service, we make no warranties or representations as to the accuracy, currency, or completeness of the information provided.

The Service makes no claims as to the currency, accuracy, or validity of the data presented. Data may be outdated, incomplete, or contain errors.

5. No Affiliation with Financial Institutions

The Service is not affiliated with, endorsed by, or in any way connected to any of the financial institutions listed within the application.

6. What the Figures Are, and Are Not

Every metric displayed in the Service is a mathematical calculation performed on figures that the institution itself reported to the FDIC in a public quarterly Call Report. They are simplified models. No combination of them measures the full financial condition of an institution, and none of them predicts a failure.

The Service distinguishes three different kinds of statement, and the distinction matters:

  • Reported and derived figures. Amounts taken from a bank's own filing, and arithmetic performed on them. These are stated as facts about the filing, with the reporting quarter shown and a link to the FDIC source.
  • Published regulatory thresholds. Where the Service reports that a figure sits above or below a line — the Prompt Corrective Action capital categories, the 2006 interagency commercial real estate screening criteria, the brokered deposit assessment adjustment — that line was drawn by a regulator, is cited, and is linked. Reading a published threshold is not a supervisory determination, and crossing one of these screening criteria is expressly not a finding of unsafe or unsound practice.
  • The Service's own opinion. The Strong / Good / OK / Poor / Critical bands, and the "Flagged" label applied where a ratio appears to be driven by still-accruing past-due loans, are the Service's own editorial judgments. They are not industry standards, not regulatory categories, and not assertions of fact about any institution. They are labeled as the Service's own wherever they appear.

No statement on this Service is intended to assert, or should be read as asserting, that any named institution is insolvent, failing, unsafe, unsound, under supervisory action, or at risk of failure. That includes any institution's position in any ranked list, the color or wording of any band, any threshold badge, and the name of this website. 7. Disclaimer of Warranties

The Service is provided "as is" and "as available" without any representations or warranties, express or implied.

8. Limitation of Liability

To the maximum extent permitted by applicable law, we shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the Service;
  • Any conduct or content of any third party on the Service;
  • Any financial decisions or actions taken or not taken based on information provided by the Service;
  • Unauthorized access, use, or alteration of your transmissions or content;
  • Any inaccurate or outdated information provided through the Service;
  • Any reliance placed by you on the completeness, accuracy, or existence of any content, or as a result of any relationship or transaction between you and any financial institution featured on the Service.

9. Indemnification

You agree to defend, indemnify, and hold harmless us, our affiliates, and their respective directors, officers, employees, agents, and representatives from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from or in connection with:

  • Your use of and access to the Service;
  • Your violation of any term of these Terms;
  • Any decisions made or actions taken by you based on information provided through the Service;
  • Any claim that your use of the Service caused damage to a third party.

10. Modifications to the Service

We reserve the right to modify, suspend, or discontinue, temporarily or permanently, the Service or any part thereof, with or without notice.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of Victoria, Australia, without regard to its conflict of law provisions.
